1. Agreement to Terms

By accessing and using Zeitstand's services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our Services.

2. Description of Services

Zeitstand provides consulting and development services, including but not limited to:

  • Software development consulting
  • Technical architecture design
  • Code review and optimization
  • Development team training
  • System integration services

3. Subscription Terms

3.1 Billing

  • All services are billed monthly in advance
  • Prices are in CHF unless otherwise specified
  • Payments are processed securely through Stripe
  • Invoices are generated automatically on the billing date

3.2 Subscription Changes

  • Subscriptions can be cancelled at any time
  • Cancellations take effect at the end of the current billing period
  • No partial refunds are provided for unused service time
  • Service continues until the end of the paid billing period

3.3 Price Changes

  • We reserve the right to modify prices with 30 days notice
  • Existing subscribers will be notified via email of any price changes
  • Continued use after price changes constitutes acceptance

4. Service Delivery and Acceptance

4.1 Delivery

  • All services are delivered "as is"
  • Services are subject to change and improvement without notice
  • We do not guarantee specific results from our services
  • Documentation and deliverables are provided electronically

4.2 No Returns or Refunds

  • All sales are final
  • No refunds will be issued for completed work
  • No refunds for unused subscription time
  • Credits may be issued at our discretion for service interruptions

5. Client Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized account access
  • Comply with all applicable laws and regulations
  • Pay all charges on time

6. Intellectual Property

6.1 Ownership

  • We retain all intellectual property rights to our services and methodologies
  • Custom deliverables become client property upon full payment
  • Our frameworks, tools, and methodologies remain our property

6.2 License

  • Clients receive a non-exclusive license to use deliverables
  • Licenses are subject to full payment
  • Licenses cannot be transferred without our written consent

7. Limitation of Liability

7.1 Service Warranty

  • Services are provided "as is" without warranty
  • We do not guarantee uninterrupted or error-free service
  • We are not liable for any indirect or consequential damages

7.2 Maximum Liability

  • Our liability is limited to the amount paid for services
  • We are not liable for lost profits or data
  • Force majeure events exclude us from liability

8. Confidentiality

8.1 Client Information

  • We maintain strict confidentiality of client information
  • Access is limited to necessary personnel
  • We implement industry-standard security measures

8.2 Non-Disclosure

  • Both parties agree to maintain confidentiality
  • Confidentiality survives termination of services
  • Exceptions apply for legally required disclosures

9. Termination

We reserve the right to terminate services if you:

  • Violate these Terms
  • Fail to pay fees when due
  • Engage in fraudulent activity
  • Violate applicable laws

10. Changes to Terms

  • We may modify these Terms at any time
  • Changes take effect upon posting to our website
  • Continued use constitutes acceptance of changes
  • Material changes will be communicated via email

11. Dispute Resolution

11.1 Governing Law

  • These Terms are governed by Swiss law
  • Exclusive jurisdiction in Zurich, Switzerland
  • Legal proceedings must be in English

11.2 Arbitration

  • Disputes will be resolved by arbitration
  • Arbitration will be conducted in Zurich
  • Decisions are binding and enforceable
